Conducive atmosphere sought to widen M&A transactions for corporates' faster growth

Stakeholders and participants in a programme sought a conducive atmosphere to widen mergers and acquisition (M&A) transactions for faster growth of businesses. 

They also emphasised the greater and more trustworthy roles of the country’s M&A intermediaries to help improve practices in the sector.

These observations were made on the first day of a two-day workshop on ‘Mergers & Acquisition and Syndication Financing’ at the Renaissance Dhaka Gulshan Hotel in the capital on Wednesday.

NDB Capital Limited, one of the leading international investment banks in Bangladesh, organised the workshop.

Mohammad Al Maruf Khan ICAEW, vice chairman of NDB Capital Limited, inaugurated the event as the chief guest.

Drawing from his experience, Mr Khan stressed the need for post-merger reviews for successful M&As.

He also expressed his optimism that different counterparties coming together through sessions like this should result in innovative transactions in our economy.

Mr Senaka Kakiriwaragodage, CEO of NDB Capital Holdings, Sri Lanka, conducted the first session of the workshop.

Using examples from Bangladesh, Mr Senaka explained the different strategies behind M&A and the critical steps of an M&A transaction.

“Corporates should be flexible to consider M&A as a shareholder value creation tool as it will allow them to achieve growth objectives faster and rationalise  portfolios.”

Mr Senaka then walked the participants through different valuation techniques facilitated by an interactive case study session.

He also explained the key stakeholders, processes involved in an M&A transaction and structures of different transactions.

Mr Senaka concluded the session by elaborating on the importance of post-merger integration and the challenges involving the process.

Over 40 participants from several banks and NBFIs, investment banks and corporate houses attended the workshop.

On the second day, the workshop will cover the basics and case studies of syndication financing, followed by an exchange of views on the same.
